International Finance Corporation

Our Partner was engaged by the Africa Office of IFC in Johannesburg, South Africa as a Financial Sector Specialists to provide advisory support for Central Bank of Nigeria on the establishment of the National Collateral Registry (NCR), carrying out a series of evaluation exercises on the legal compliance of the NCR and the user experience and compliance levels by institutional users in the banking sector. Tasks entailed developing technical approach/methodology to assignment, legal audit, heuristsic evaluation, survey of twelve banks and production of a series of reports in aggregate of circa 200pages.


Easyfuel Limited

We advised the issuer and helped draft and negotiate documentation on the first private placement by cleint, the first electronic payments company to focus on the downstream petroleum sector in Nigeria, and one of the first six PTSPs licensed by Central Bank of Nigeria.


Royal Roots Communication Network Limited

We advised the issuer and helped draft and negotiate documentation on the first private placement by cleint, owners and operators of R2TV, a television channel and television production facility broadcasting across West Africa from Lagos, Nigeria.


Middle Band Solar One Limited

We advised on completion matters for the aqcuisition of controlling stake by a Spanish renewable energy company in the capital of client. a pioneer renewable energy company in Nigeria.

International Corporate Governance Network, ICGN, UK

Our Partner served on the Integrated Business Reporting Committee of ICGN, a network of the world’s leading institutional investors and their professional advisers together holding over US$17trillion in AUM. Therein, he worked with a group of other global professionals selected to develop the ICGN official ‘Integrated Business Reporting Guidelines’ approved at the annual general meeting of June 2015.


Financial System Strategy (FSS) 2020 of CBN

Our Partner served on the Legal Implementation Committee of FSS 2020 of Central Bank of Nigeria, where he served on the sub-committees on Credit & Mortgage and Financial Markets.


Nextzon Business Services Limited- Regional Expansion services in the Nigertian financial services sector

Our Partner led legal advisory team of a consulting firm assisting Nigerian banks in cross-border expansions across West and Central Africa (through strategies as diverse as fresh licences or M&A), thus gaining insights into the corporate, banking and securities (capital market) laws of the three key jurisdictions in the sub-region— Nigerian, Ghanaian and the OHADA francophone system.


Oceanic Bank International Plc (now part of Ecobank, Nigeria)

Our Partner advised the client on, and developed legal documentation for, the cross-border acquisition of Amalgamated Bank Limited of Ghana, later rebranded as Oceanic Bank Limited, Ghana.


Oceanic Insurance, Nigeria

Our Partner advised on, and developed legal documentation for, the acquisition of Corporate Ideals Insurers Limited, later rebranded into Oceanic Insurance Company Limited, currently Old Mutual, Nigeria.

We advised on completion matters for the aqcuisition of controlling stake by a Spanish renewable energy company.


Energy & Mineral Resources Limited

Advised on the formation of a JV with a Nigerian drilling and production oilfield services company for the joint bid for drilling and production oilfield services contract with an E&P company.


Unnamed Power Client

We provided legal opinion to the Nigerian subsidiary of a New York-based global IPP company on the regulatory implications of engagement of, and remittance of funds to, foreign-based EPC contractors for local power projects.


Negris Group

Our Partner provided legal advice on the ‘group modelling/integration’ of one of Nigeria’s largest and most diversified Energy groups with ten member companies active in oilfield service, power and EPC. He also designed the model and process for the Legal and Community Engagement department.


NLNG

Our Partner, in a governance/sustainability consulting role, developed the Governance Framework and Operational Process for the flagship CSR initiative of Nigeria’s leading gas exploration company(Nigerian Liquefied Natural Gas Ltd.

International Data Corporation, Middle East/Africa Division

We advised the Dubai-based MEA division of the world's leading technology market research company on the legal and tax aspects of establishing in the high-growth Nigerian market.​


Ebonylife Television

We advised on various aspects of the set-up of this pioneer pan-African television network broadcasting from Nigeria. These include advice on the acquisition of production facility through a JV for the operationalisation of perhaps Nigeria's largest state-owned television production facility. We also advised on carriage agreements across the world, including one entailing consideration of the laws of multiple jurisdictions. Under a retainer arrangement, we advised on and provided documentation on various operational contracts across the value network of the business, including acquisition of rights to content, content inputs and formats, commisisioning of original content as well as engagement of various technical hands and artistic talents.


Royal Roots Television

We have advised on various technical aspects of this new West African broadcast channel, including carriage agreements on satellite platforms, communication link agreements, as well as content acquisition and distribution agreements. We have also advised on financing activities aimed at business expansion.


Easyfuel Limited

The client is a payments processor focused on the petroleum downstream sector and one of the first and only six PTSPs to be licensed by Central Bank of Nigeria under the new regulations of the e-payment/e-banking space. We helped document the framework and operational model for its operations. We also developed standard contracts with key partners in its value network, including banks, merchants (downstream oil companies) and technology suppliers. Besides, we provided full legal advice on equity and debt financing for the business.


Paymaster Limited

Our Partner provided legal advice and documented the equity investment into the first independent PoS service provider to roll out in the Nigerian electronic payments space. He also led provision of ongoing legal advice in the establishment of the company's relationship with other players in the e-payment space, including a switch as well as banks with PoS networks.


3-Line Card Management Limited

Our Partner provided legal advice to the team that developed the strategy and business model for an emergent pre-authorised debit card company in Nigeria as well as legal advice and documentation on key relationships for the set up of the card scheme. The relationship between the company and its technology suppliers as well as local terminal networks also had to be structured.


Computer for All Nigerians (CANI) Initiative

Our Partner led the team that provided legal documentation and advice on the now defunct digital-divide bridging initiative of the Federal Government of Nigeria (represented by National Information Technology Development Agency) under a PPP-type model. The engagement entailed drafting agreements between the Project Management company and diverse partners across the entire contractual network of the JV, including original equipment manufacturers and software companies, banks, employers of labours and business development consultants.


Nextzon E-Business Services

Our Partner provided legal advisory services and documentation on various e-business and e-government engagements of the E-Business services of Nextzon Business Services Limited. These include process automation projects of various states in the Federation of Nigeria often involving PPP-type collaboration between state governments, the technical consultants and financial institutions.

Enugu Lifestyle and Golf City

We advised, reviewed documentation and negotiated PPP-type arrangement for wholesale 1,097-hectare ‘new town’ development between client, South African technical partners and a State government in Nigeria. We equally designed the ‘Developer and End User/Occupier Guidelines’ covering architectural guidelines and building rules as well as on-going common-use management powers under a ‘design-construct-dispose-manage’ model.


Desarrolar Limited Consortium

The Lodt is one of the two law firms forming a consortium of service providers to deliver a bespoke real estate marketing, financing and delivery solution targeted at the African diaspora. The consortium includes the lead firm, two leading Nigerian firms of trustees, two law firms and downline delivery partners from the real estate industry, including architects, builders, etc. We assisted in the structuring of the consortium, including developing the consortium agreement as well as standard bible of documents governing the process.


Evergreen Projects Limited

We are legal advisers to a Nigerian firm on its ongoing negotiations of a joint venture with a German firm for the introduction of a unique housing solution to the Nigerian market.
